甲乙雙方本著互利互惠，誠實守信，優勢互補的原則，經過友好協商，就甲方對于乙方生產太陽能電池組件中介合作事宜，達成如下協議：
The parties A and B, through amicable consultation, based on the principle of mutual benefit, honesty and trustworthiness and complementary advantages, reached the following agreement on the Party A’s intermediary cooperation of the production of solar modules for Party B:

2. Cooperative Content
根據甲乙雙方協商，達成以下合作內容：
The following cooperation contents are reached in accordance withthe negotiation between the parties hereto.
甲方介紹、協助和促成乙方與簽訂生產和買賣太陽能電池組件產品的合同；價格為。
Party A shall introduce, assist and facilitate Party B to conclude the contract with for the production and sale of solar module products .

Parties’ Responsibilities, Rights and Obligations
2.1 甲方的責任、權利和義務
2.1 Party A’s responsibility, rights and obligations:
（1）甲方應認真與其推薦的客戶進行聯絡，介紹并推廣乙方的產品，并為乙方與客戶的溝通、談判、商務運作等相關商務活動提供商業咨詢服務，最終促成乙方與采購商簽訂買賣合同；
(1) Party A shall liaise seriously with its recommended customers, introduce and promote Party B’s products, and provide business consulting services for Party B’s communication, negotiation, business operation and other related business activities with customers, and ultimately facilitate conclusion of the sale and purchase contract between Party B and the purchaser;
2.2 乙方的責任、權利和義務
2.2 Party B’s responsibilities, rights and obligations:
乙方應保證生產太陽能電池組件的質量和功率數量，全部承擔對于出現的產品質量和功率數量不符合規范標準的責任。
Party B shall guarantee the quality and power quantity of the solar modules produced, and fully assume the responsibility for the emergence of product quality and power quantity not in line with the norms and standards.
3 咨詢費與付款
3 Commission and payment
3.1乙方向甲方支付的咨詢費以實際的產品銷售量為結算依據。合同約定的最低銷售量為。如果乙方銷售量沒有達到合同約定數量，乙方有權要求重新商定咨詢費用；
3.1 The consulting fee paid by Party B to Party A is based on the actual sales volume of the products. The minimum sales volume agreed in the contract is . Where Party B’s sales volume fails to reach the contracted volume, Party B has the right to request a renegotiation of the consulting fee;
3.2 在乙方收到客戶合同規定的貨款后，通知甲方，甲方開具正規商業發票。乙方收到發票后15個工作日內支付相應銷售貨物的咨詢費。
3.2 Party B shall, upon receipt of the payment for the goods specified in the customer’s contract, notify Party A which issue the formal commercial invoice. Party B will pay the consulting fee for the corresponding sales of goods within 15 working days upon receipt of the invoice.
4、違約責任
4．Liability for Breach
如果一方不能按照本協議執行而給另一方造成了損失，受害方有權利要求對方給予相應的賠償。
Where any party is unable to perform this agreement and caused the loss of the opposite party, the victim has the right to ask for the corresponding compensation.
5、保密條款
5. Confidentiality
雙方對因履行本協議而知悉對方的機密、情報、計劃、產品等相關資料有保密的義務，未經對方書面同意，不得向第三方泄漏或作本協議以外的用途，否則應當賠償對方因此遭受的經濟損失。
Either party hereto has the obligation, during to performance of this agreement, to keep confidential the secrets, information, plans, products and other related materials, and shall not, without the written consent of the opposite party, leak or divulge to third party or make use other than the purpose hereof, otherwise shall compensate the opposite for the economic losses therefrom.
6、爭議解決6. Dispute resolution
6.1、本協議之解釋與適用以及因本協議產生的爭議，均應依照中華人民共和國法律予以處理，并以乙方所在地法院為第一審管轄法院。
6.1. The interpretation and application hereof and the disputes arising herefrom shall be dealt with in accordance with the laws of the People’s Republic of China, and the court where Party B is located shall be the jurisdiction court of first instance.
7、協議的終止
7. Termination of Agreement
7.1、協議任何一方均可以提前三十（30）天書面通知的方式終止本協議。
